All services are performed under a separate written agreement (a Statement of Work or equivalent contract) between Cyrex and the client. These Terms apply alongside, and do not replace, any such agreement.
3. Authorised Use

4. Client Responsibilities
By engaging our services, you confirm that:
- You are the lawful owner of, or have explicit written authorisation to test, all systems and assets within the agreed scope.
- You have obtained any third-party permissions required (e.g., from cloud providers, hosting companies, or co-tenants).
- You will provide accurate and complete information necessary for Cyrex to perform the engagement safely and effectively.
- You will ensure a point of contact is available during the engagement to address any issues that may arise.
Cyrex accepts no liability for damages arising from inaccurate scope definitions or failure to obtain appropriate authorisations.
5. Intellectual Property
All reports, methodologies, tools, and deliverables produced by Cyrex during an engagement remain the intellectual property of Cyrex until full payment has been received, at which point ownership of the final report transfers to the client.
Cyrex retains ownership of all proprietary tools, frameworks, and internal methodologies used during service delivery. Nothing in these Terms grants the client a licence to use, copy, or distribute Cyrex's internal tools or processes.
Our website content, branding, and materials are protected by copyright and may not be reproduced without our written consent.
6. Confidentiality
Cyrex treats all client information as strictly confidential. We do not disclose client identities, engagement details, or findings to any third party without written consent, except where required by law.
Confidentiality obligations specific to an engagement are governed by the Non-Disclosure Agreement (NDA) or confidentiality clauses within the client contract.
7. Payment Terms
Payment terms are set out in the individual client agreement or Statement of Work. Unless otherwise agreed in writing:
- Invoices are due within 30 days of the invoice date.
- Late payments may be subject to interest in accordance with applicable law.
- Cyrex reserves the right to withhold final deliverables until payment has been received in full.
8. Limitation of Liability
To the fullest extent permitted by law:
- Cyrex's total liability to any client arising from a service engagement shall not exceed the total fees paid by that client for the specific engagement giving rise to the claim.
- Cyrex shall not be liable for any indirect, consequential, or incidental loss, including loss of profits, data, or business opportunity.
- Cyrex is not responsible for pre-existing vulnerabilities, system outages, or issues outside the agreed scope of work.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by Cyrex's negligence.
9. Disclaimers
Our website and services are provided on an "as is" basis. While we take every care to ensure the accuracy of information on our website, we make no warranties as to its completeness or fitness for any particular purpose.

These Terms are governed by the laws of Ireland. Any disputes arising from these Terms or the use of our services shall be subject to the exclusive jurisdiction of the Irish courts.
If a dispute arises, both parties agree to first attempt resolution in good faith through direct communication before initiating formal proceedings.
